Maybank Philippines Whistleblowing Policy Statement

Malayan Philippines, Inc. (“MPI”) is committed to the highest standard of ethics and integrity in its conduct of business and operations. As part of this commitment, Maybank Philippines, Inc. has in place an avenue for disclosure of any improper conduct.

 

Objectives of This Policy

The objective of this policy is to ensure that all employees and members of the public have access to secured channels to make disclosures on any improper conduct by any member or representative of MPI, with the assurance that there will be no repercussion against them.

 

Scope

Improper conduct or potential impropriety includes, but not limited to:

  • Any form of financial malpractice
  • Any form of financial crime, including fraud
  • Non-compliance to MPI policies, procedures and internal practices that warrants internal disciplinary proceedings;
  • Any form of criminal activity;
  • Serious breach of the MPI Code of Discipline;
  • Harrassment, abuses and intimidation;
  • Conflicts of interest and potential abuse of position for personal gains;
  • Bribery and corruption;
  • Authorizing, directing or participating in unlawful activities
  • Attempts to conceal any of the above; and
  • Regulatory breaches or non-compliance to regulatory requirements arising from the above concerns.

Any person who is aware of, or has reasonable grounds to suspect that, any improper conduct has been committed by an employee or representative of MPI can make a disclosure.

Whistleblowers are encouraged to include the following information in the disclosure to facilitate investigation:

  • Name of person(s) involved;
  • Date and time of the event;
  • Nature of the event;
  • Witness to the event, if any; and
  • Evidence of the event, if any.

 

Other Disclosure Channels

If a whistleblower feels uncomfortable raising the concerns through the Channels mentioned above, he/she may choose to raise concerns via the following options:

 

  1. Informally approach MPI PCEO or any member of the Management Committee;
  2. Communicate to MPI Chairman of the Board or any Board member; or
  3. Directly raise concerns to relevant regulators [i.e. Bangko Sentral ng Pilipinas (BSP) or Securities and Exchange Commission (SEC)]

 

Confidentiality and Protection of Whistleblower

The identity of a whistleblower who made a disclosure in good faith will be kept confidential and will only be disclosed on a strictly need-to-know basis. Employees who whistleblow in good faith will be protected by MPI from any repercussion / retaliation.

 

Governance and Standards

MPI provides oversight to ensure that disclosures made via the whistleblowing channels are accorded with adequate attention, independence, investigation and remedial action, where necessary.
